Terms and Conditions

I. Scope

  1. These General Terms and Conditions (GTC) apply to all offers, deliveries, and services provided by MAGU Swiss AG.
  2. Any terms and conditions of the purchaser that differ from these shall apply only if MAGU Swiss AG has expressly accepted them in writing.
  3. If any provision of these Terms and Conditions is or becomes invalid, the validity of the remaining provisions shall remain unaffected.

II. Offers and Conclusion of Contracts

  1. All offers are subject to change and non-binding, unless they are expressly designated as binding.
  2. A contract is not concluded until a written order confirmation is issued or the delivery is completed.
  3. We reserve the right to make technical changes and adjustments due to legal or technical requirements, provided that such changes are reasonable for the customer.

III. Prices

  1. Prices are quoted in the currency specified in the offer, in the online store, or on the invoice.
  2. The applicable statutory value-added tax is shown separately in accordance with tax regulations.
  3. Unless otherwise expressly agreed, prices are ex warehouse or ex shipping location.

IV. Delivery and Shipping

  1. Delivery dates and delivery times are non-binding unless they have been expressly agreed upon in writing as binding.
  2. Partial deliveries are permitted, provided they are reasonable for the purchaser.
  3. Ownership and risk are transferred to the customer upon delivery of the goods to the carrier or upon their departure from the warehouse.
  4. Customs clearance, import formalities, and any customs duties or ancillary costs shall be governed by the respective agreement between the parties.

V. Duty to Inspect and Report Defects

  1. The customer must inspect the goods immediately upon receipt.
  2. Obvious defects, incorrect deliveries, or discrepancies in quantity must be reported in writing immediately.
  3. Hidden defects must be reported in writing immediately upon discovery.
  4. If a notice of defect is not provided in a timely manner, the goods shall be deemed to have been accepted.

VI. Warranty and Liability

  1. The technical data sheets, product information, and performance specifications provided by MAGU Swiss AG are authoritative regarding the product characteristics.
  2. The purchaser is obligated to verify the suitability of the products for their intended use before processing, assembly, or installation.
  3. We assume no liability for damage resulting from improper storage, processing, assembly, use, or modification of the products.
  4. In the event of valid defects, MAGU Swiss AG shall, at its sole discretion, decide whether to repair the item, provide a replacement, or grant an appropriate price reduction.
  5. Liability for indirect damages, consequential damages, lost profits, production losses, construction delays, or third-party claims is excluded to the extent permitted by law.
  6. The limitation of liability does not apply in cases of willful misconduct, gross negligence, or mandatory statutory liability.

VII. Retention of Title

  1. The delivered goods remain the property of MAGU Swiss AG until all amounts due have been paid in full.
  2. MAGU Swiss AG is entitled to have a retention of title registered in accordance with the provisions of the law.

VIII. Terms of Payment

  1. Invoices are payable in full within the payment period specified on the invoice.
  2. In the event of late payment, MAGU Swiss AG is entitled to charge late payment interest as well as reasonable reminder and collection fees.

IX. Returns and Cancellations

  1. Under Swiss law, there is generally no statutory right of withdrawal.
  2. Any voluntary right of return or cancellation is governed exclusively by the return and cancellation policies published on the website.

X. Data Protection

  1. Personal data is processed in accordance with MAGU Swiss AG's Privacy Policy and applicable data protection laws.

XI. Governing Law and Jurisdiction

  1. All legal relationships between MAGU Swiss AG and the purchaser shall be governed exclusively by Swiss law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
  2. The place of jurisdiction for all disputes is Schaffhausen, unless otherwise required by mandatory statutory provisions.
